Service Usage Agreement (Offer) Freelancehunt.com
This Agreement (offer) (hereinafter referred to as the Agreement) for using the service Freelancehunt.com is concluded between LLC 'FREELANCEHUNT' (hereinafter referred to as the Site Administration) and the person who is a User as defined below (hereinafter referred to as the User), collectively referred to as the Parties, and each individually as a Party.
The public offer agreement is public, and according to Articles 633, 641 of the Civil Code of Ukraine, its terms are the same for everyone.
If you disagree with this Agreement or any of its terms, you have the right to refuse to use the Freelancehunt.com site (hereinafter referred to as the Service). If you mistakenly agreed to this Agreement, notify the Service administration within 60 minutes of registration.
This Agreement becomes effective for you upon sending the completed registration form.
If you are a Service user, this automatically means you accept all terms of this Agreement.
1. Terms and definitions
The Site Administration is a legal entity that provides Users access to the Service, has the right and authority to manage, operate, and maintain the Freelancehunt.com site, namely LLC 'FREELANCEHUNT' (EDRPOU 40190882).
Service — a set of software and hardware resources, united by a domain name space Freelancehunt.com, ensuring interaction between Users.
User — a registered individual on the Service in accordance with the terms of this Agreement, who has reached 18 years, or a legal entity, excluding entities that are residents of the Russian Federation and the Republic of Belarus. Entities from the Russian Federation and the Republic of Belarus cannot use the Service for any purpose.
Account — a unique name (login) and password for accessing the User's personal pages within the Service.
Client — a User searching for Freelancers within the Service.
Freelancer — a User providing services for various types of work, without entering into any employment relationship with the Service, and not being its employee.
Suspicious activity — a set of certain factors identified by the administration indicating atypical (uncharacteristic) user behavior.
Payment details — unique numbers of payment (bank) cards and electronic wallets that can be used for settlements between users.
Contact details: phone numbers, email addresses, links to social media accounts or instant messaging services, as well as website links if their main purpose is to transmit personal data or if personal data is immediately displayed upon visiting them.
2. General Provisions
2.1. By accepting this Agreement, the User agrees, accepts, and commits to unconditionally follow all its terms. The User has the right to refuse to use the site Freelancehunt.com (hereinafter — Service).
2.2. This agreement and all amendments to it take effect from the moment they are published on the Service. Changes to the Agreement can be made at any time. Users confirm that with each subsequent login to the Service, they are familiar with and accept the terms of the Agreement, which are published at the address https://freelancehunt.com/en/legal-center/terms.
2.3. The Service provides Users with uninterrupted access to the Service's features, except for the time required for necessary maintenance and regulatory work. All existing services at the moment, as well as any development and/or addition of new ones, are subject to this Agreement. Users understand and agree that all services are provided on an 'as is' basis and that the Administration is not responsible for any delays, failures, incorrect or untimely delivery, deletion, or failure to store any user personal information.
2.4. Fair Cooperation Policy. The purpose of using the Site by all Parties is to ensure quality and effective placement of information (orders, offers, etc.), proper fulfillment of obligations to each other, and protection of the Parties' rights and interests. The Client and/or Freelancer cannot use the Site for other purposes, particularly for transmitting, collecting, encouraging the transmission and search of users' contact and/or payment details, searching for offers, and fulfilling orders outside the Site. In case of violations of the Fair Cooperation Policy, the Administration has the right to unilaterally restrict such Party's access to the Site or impose a monetary fine on the Party in amounts determined by clause 2.4.1 of this agreement.
2.4.1. Liability measures for violating the fair cooperation policy conditions defined in clause 2.4 of this agreement include: warning, temporary restriction of user account functionality, a monetary fine of 1000 hryvnias, and complete blocking of the user account in case of non-payment of the fine or systematic violations, including after a warning and fine imposition.
2.4.2. All users who violate the fair cooperation policy conditions defined in clause 2.4 of this agreement will be notified via the platform and email. The notification will contain detailed information about the violation and consequences.
3. Rights and Obligations of the Parties
3.1. Rights and Obligations of the User
3.1.1. The User is responsible for the accuracy and precision of filling out their profile, as well as all information posted by them on the Site.
3.1.2. Prohibited on the Service:
3.1.2.1. Calls for violent change or overthrow of the constitutional order or seizure of state power; calls for changing administrative boundaries or the state border of Ukraine, violating the order established by the Constitution of Ukraine; calls for riots, arson, destruction of property, seizure of buildings or structures, forced eviction of citizens; calls for aggression or the initiation of a military conflict.
3.1.2.2. Obscene direct and indirect insults towards anyone, including those based on ethnic, racial, or religious affiliation, as well as statements of a chauvinistic nature.
3.1.2.3. Offensive behavior and expressions towards the Administration and other users of the Service.
3.1.2.4. Placement by Users of orders and advertisements:
- of goods and services that violate the current legislation of Ukraine and/or the intellectual property rights of Third parties.
- of goods and services that do not comply with this Agreement.
- of trojan programs, viruses, internet worms, hacking or unauthorized access programs, as well as other 'hacker' programs that may harm software and/or components of information systems.
- related to spam distribution, as well as the development of software for such distributions.
- whose consumers are entities from the Russian Federation and the Republic of Belarus.
3.1.2.5. Publication of the following information:
- explicit and hidden advertising of third-party sites, including referral links and links to sites of similar nature.
- advertising of quick earnings.
- any messages and announcements related to obtaining illegal income, including income from fraudulent activities.
- any messages and announcements containing information about the illegal distribution of narcotic drugs, psychotropic substances, their analogs, and precursors.
- containing obscene language.
- provoking conflicts on political, racial, religious, national, or other grounds of hostility.
- violating the rights of legitimate rights holders.
- non-targeted distribution of advertising information in private messages.
- announcements about the sale of any goods and services.
- projects with a significantly lower budget compared to similar projects.
- projects where the reward for completion is only a review.
- projects and jobs that do not match the core skill of the service.
- projects completed retrospectively and opened to increase the rating.
- projects that imply unpaid test tasks that differ for different freelancers.
- projects and jobs that imply writing or posting reviews about products, services, or platforms.
- projects that imply buying likes or reposts on social networks.
- projects and jobs that imply finding sponsors for events, raffles, or similar activities.
- projects created to collect freelancers' contact details.
- projects and jobs created to attract to MLM and pyramid schemes.
- projects where the task is obtained from another project already posted on the service (mediation).
- projects and jobs related to farming, buying, selling, or renting accounts on third-party services.
- projects and bids related to completing any student or school assignments, including taking exams, completing tests, lab work, homework, as well as taking tests on behalf of others and developing essays, theses, dissertations, and coursework.
- projects related to writing texts on medical topics.
- projects related to COVID-19 (including but not limited to writing articles on protection methods and developing websites for selling masks).
- projects whose description contains the client's contact information.
- proposals whose text contains an amount different from the value specified in the work cost field.
- proposals whose text contains the user's contact details.
- proposals with work conditions that significantly differ in reduction from other freelancers' offers in the current or similar projects.
- proposals offering work on a free basis or exclusively for a review.
- proposals whose text contains completed work on the project as an attachment, link, or otherwise.
- projects whose description includes a requirement (request) to provide contact details.
- contact details on the public profile page, as well as links to third-party sites if their main purpose is to transfer personal data or if personal data is immediately displayed upon visiting them.
- projects related to permanent employment (including remote or in-office), as well as offers for long-term collaboration without a specific technical task or project assignment.
- jobs whose description contains information about several open positions.
- projects and jobs related to providing intimate services, as well as the production, broadcasting, or rebroadcasting of erotic, pornographic photo, video, and audio materials.
- projects and vacancies related to religious sect activities, as well as occult and esoteric services.
- projects and jobs that imply earning through webcams, chats, and forums if their activities contradict the current legislation of Ukraine.
- projects and jobs whose description lacks detailed information about functional responsibilities and/or tasks.
- projects and jobs related to performing work or providing services in the field of matchmaking.
- commercial offers for specific pre-selected freelancers through the publication of public projects.
- contests related to the production of erotic and/or pornographic materials.
3.1.2.6. Any actions that are directly prohibited by the legislation of Ukraine.
3.1.2.7. Modifying profile photos with frames, borders, or other graphic elements, using third-party photos, or using one's own photos that do not reflect their current appearance, including childhood, outdated, or otherwise irrelevant photos.
Using neutral images in profiles is allowed as long as they do not mislead other users, are not third-party photos, are not outdated photos of the user, and do not violate other terms of this Agreement.
The administration has the right to set additional requirements for profile photos depending on the type of verification, account status, or the user's completion of the verification process. For certain verification procedures, the administration may require a current photo of the user that reflects their real appearance at the present time.
3.1.3. The User has the right to submit their suggestions or proposals for improving the Site to the Administration for consideration.
3.1.4. Users acknowledge and agree that the Administration has access to all content of the Service, including private messages on the Service.
3.1.5. Users should not attempt to gain unauthorized access to any part or feature of the Service, or any other systems or networks connected to the Service, or to any Service server, by any unlawful means.
3.1.6. All users of the Service can register no more than one Client account and one Freelancer account. Registering multiple accounts of the same type is prohibited, as is sharing login credentials with other users.
3.1.7. The transfer of accounts to third parties is prohibited. One account belongs to one person.
3.1.8. The purchase and sale of accounts are prohibited.
3.1.9. All Service users must fulfill their obligations in good faith both to the Service administration and to their counterparties (in case of transactions with the latter), and adhere to the established rules of business communication on the service.
3.1.10. Non-targeted advertising of provided services is prohibited.
3.1.11. The use of tools for mass mailing of private messages or automatic proposal submission on projects is prohibited.
3.1.12. Non-targeted discussions in project or contest forums are prohibited, except for clarifying details necessary to understand the task.
3.1.13. The use of tools for artificially increasing uniqueness in text writing projects is prohibited.
3.1.14. The User (Client, Freelancer) consents to the Administration using photos/videos and other images created during cooperation on the Service, in any way and on any sites, social networks, YouTube, and other platforms for Freelancehunt advertising.
3.2. Rights and Obligations of the Administration
3.2.1. The Administration determines the rules of conduct on the Service and reserves the right to require Users to comply with them.
3.2.2. The Administration reserves the right to make changes to the Agreement and all its integral parts without any special notification to users about such changes.
3.2.3. The Administration reserves the right to make changes to the information published on the Service at any time.
3.2.4. The Administration has the right to send Users informational messages exclusively within the framework of using the Service.
3.2.5. The Administration is not responsible for the accuracy of the information published on the Service and/or the correctness of Users' statements.
3.2.6. If the User disagrees with the Administration's decision, they have the right to write a letter with the justification of their disagreement to the Site Administration.
3.2.7. The Administration may revoke the right to use the Service from a User who violates the terms of the Agreement.
3.2.8. The Administration has the right to block or delete a User's account, as well as prohibit access using any information to the Service, and delete any User content without explanation, including in any of the following cases:
- violation of User Agreement terms or other documents provided by the Agreement.
- user actions that caused or could cause damage to the service's business reputation.
- receiving a significant number of complaints from other users.
- providing false information in the public profile.
- publication of private correspondence with other users on publicly accessible resources.
- violation of the Fair Cooperation Policy.
3.2.9. The site Administration has the right to make any adjustments to the user's profile without notifying the user if it believes that the user is violating the site's rules.
3.2.10. The Administration has the right to control, place, delete, modify, store, or review messages sent through the Site at any time and for any reason. The Administration is not responsible, does not endorse, and does not guarantee information regarding opinions, views, advice, or recommendations posted or sent by Users.
3.2.11. The Administration is not responsible for any errors, inaccuracies, omissions during registration or content upload on the Site and cannot be held liable for any losses (including lost profits) arising from such errors, inaccuracies, or omissions.
3.2.12. By providing the Administration with their email address and phone number, Users consent to the use of this data for sending service, informational, and marketing notifications by the Administration.
3.2.13. The Administration reserves the right to advertise the Service's services at its discretion by processing content and displaying it on relevant pages of the Service and beyond, with the right to structure, edit, integrate, split, regroup, translate the text part of the content into other languages, and more. The Administration is not responsible for any errors, distortions, omissions, inaccuracies, deletions, content defects in connection with the translation of the text part of the content into other languages.
3.2.14. The User provides their unconditional consent to the Administration's processing of personal data to exercise rights and fulfill obligations arising from the provisions of this Agreement. Processing includes, but is not limited to, collection, registration, storage, adaptation, updating, use, and destruction of personal data. The parties are informed that from the moment this Agreement is concluded, the Administration is exempt from the obligation to obtain additional consent from the User for the processing of personal data. This consent also implies the possibility of transferring data and copies of documents to the Administration's partners, including payment system data, exclusively for conducting promotional campaigns with the participation of the Client and Freelancer, conducting settlements, and providing service services, as well as for the purpose of verifying the authenticity of the documents provided by the user.
3.2.15. The Administration has the right to block a user's project if a significant number of complaints are received from other users.
3.2.16. The Administration reserves the right to require profile verification from the User in case of suspicious activity in the mentioned profile.
3.2.17. The Administration has the right to request and receive from the User any data necessary for their verification.
3.2.18. The Administration has the right to verify information about the User using any publicly available and official databases, including payment system databases and similar. The User reimburses the Administration for expenses incurred in connection with the verification. The cost of verification is agreed upon with the user in advance.
4. Procedure for Dispute Resolution and Liability of the Parties
4.1. The Administration of the Service does not participate in disputes (including judicial) between Users of the Service, as well as with the participation of Third parties.
4.2. The Administration of the Service is not responsible for the quality of services provided by Freelancers.
4.3. The Administration of the Service is not responsible for any possible losses and/or lost profits of Users or Third parties caused by the use or inability to use the Service.
4.4.The Administration of the Service is not responsible for the actions of Users or Third parties that violate the current legislation of Ukraine.
4.5. The Administration of the Service is not responsible for the information and materials posted by Users within the Service.
4.6. The Administration of the Service does not guarantee, but undertakes to make every effort for the error-free and uninterrupted operation of the Service
4.7. The User is responsible for all actions performed on behalf of the User on the Service;
4.8. The User is responsible for the quality and timeliness of fulfilling obligations accepted within the Service.
4.9. The User is responsible for the security of confidential information used to access the Service. The main conditions of confidentiality are set out at the address https://freelancehunt.com/en/legal-center/privacy.
5. Payment Procedure
5.1. The use of the Service is free, access to the Service is provided equally to all interested parties.
5.2. The Administration of the Service has the right at its discretion to introduce and change fees for certain services of the Service, about which users of the service will be notified in advance.
5.3. In case of a violation of the Service Rules, funds used to purchase a service on the service are not refunded. However, if the user could not fully use the purchased service due to the obvious fault of the Administration, the funds are subject to return to the payment card from which the payment was made, in an amount corresponding to the full cost of the service.
5.4. Payment for the Service's offerings is final and non-refundable, except when the service was not provided due to the Service's fault. A service is considered delivered once the User gains access to the relevant features of the Service (such as posting a job, activating an additional service in a project, etc.). If an account is blocked or content is removed due to a breach of Service Rules, the fees paid for such a service will not be refunded. Payment system fees and other costs related to processing the payment are non-refundable.
5.5. When transferring from a bank card, payment processing (including card number entry) is done on a secure page of the processing system. This means your confidential data (card details, registration data, etc.) does not reach Freelancehunt, their processing is fully protected and no one can obtain the client's personal and banking data.
5.6. When working with card data, the information protection standard developed by international payment systems Visa and MasterCard – Payment Card Industry Data Security Standard (PCI DSS) is applied, ensuring secure processing of the Cardholder's Bank card details. The data transmission technology used ensures the security of transactions with bank cards using Secure Sockets Layer (SSL) protocols.
6. Personal Data
6.1. All personal data on the Service is published with the prior consent of the personal data subjects, obtained in accordance with the current legislation of Ukraine. By providing personal information, the User gives their unconditional consent to the processing and verification by any available means by the Administration of personal data to exercise rights and fulfill obligations arising from the provisions of this Agreement. Processing includes, but is not limited to, collection, registration, storage, adaptation, updating, use, and destruction of personal data. In connection with this, the Administration is exempt from the obligation to obtain additional consent from the user for the processing of personal data, namely: for its collection, storage, adaptation, updating, and use for the purpose of distributing electronic thematic mailings and other information related to the activities of the Service. The personal data provided by the User is used only for internal purposes and is not transferred to third parties, except for cases of transferring necessary information to the Administration's partners, exclusively for conducting promotional campaigns with the participation of the user, conducting settlements, and providing Service services, as well as for the purpose of verifying the authenticity of the documents provided by the user. The User can request or change their personal information contained in the Service's databases at any time by contacting the Administration.
7. Publication of Job Announcements and CVs
7.1. The Client has the right to publish a job announcement.
7.2. The Client pays for the service of publishing an announcement.
7.3. It is prohibited in a job announcement to specify the age of candidates, offer work only to women or only to men, except for specific work that can only be performed by persons of a certain gender, to make requirements that provide advantages to the female or male gender (except in cases defined by law), to representatives of a certain race, skin color, for political, religious, and other beliefs, to members of professional unions or other associations of citizens, ethnic and social origin, property status, place of residence, by language or other signs.
7.4. The Freelancer has the right to free access to all job announcements.
7.5. The Freelancer has the right to publish a personal CV.
7.6. The Administration reserves the right at any time to make changes and delete job announcements and CVs if they do not comply with the terms of this Agreement, as well as at its sole discretion without specifying reasons.
7.7. The Administration is not responsible for the content of job announcements and CVs, as well as for causing damage and other losses that may arise for the Client and Freelancer in connection with the publication and use of information contained in the job announcement and CV.
