Conclusion of the CPC contract for the project "SMS aggregator"

It is necessary to draft a contract between Ukrainian individual entrepreneurs and a natural person considering our risks and intellectual property.

Main points of the project:

1.
- full functioning of the website and technical infrastructure;
- creation of a full-fledged aggregator as a separate product (i.e., the product is a profit generator and is solely an asset of the company).

2. This aggregator will be used only in the work of our team.

3. SMS activator - this is a service that can only be sold in our name.

4. Code, product, infrastructure - full ownership of the company (belongs to the individual entrepreneur).

5. Customer base - property of the company. Access is granted to the natural person during the work period, but without ownership rights.

6. Equipment - asset of the company (the natural person can find equipment on internet resources, and the invoice must be issued to the individual entrepreneur and paid by the individual entrepreneur).

7. During / upon completion of the project, the natural person is obliged to conduct training and write an instruction "how to use this program".

8. Technical support of this program: during setup and afterwards, can remain with this natural person (this may be his dividend).

9. Processes and reporting (everything is recorded in Trello - tasks, changes, expenses).
Regular weekly (operational report) and monthly (financial and strategic report) reporting and documentation management (maintained during the project and updated with each change of data. Includes: architecture, instructions, deployment, working with GSM).
What is included in the report:
- number of activations;
- revenue (gross/net);
- expenses (breakdown);
- profit;
- SIM status (active/inactive);
- top services;
- problems/risks;
- plan for the next period.

10. Access.
All accesses are provided to the company from the first day and maintained in an up-to-date state.
Separate point: the natural person is obliged to provide and maintain:
- git (code);
- servers;
- database;
- payment systems (view);
- analytics;
- GSM / modems (monitoring).

11. Sanctions.
Failure to provide a report, lack of access, lack of documentation, breach of contract - penalty sanctions in the form of a certain fine (here additional agreements).
