1. Consulting Services. Company hereby retains Consultant to perform the following services (“Services”, all together, the “Project"): planning, creation, and execution of the proposed software infrastructure for Company. This undertaking includes drafting and creating a software architecture, tenant isolation, data partitioning, and data management, access and identifies validation, and client billing and metering. All code, architecture, and other work will be enterprise grade ensuring a smooth, reliable client experience.
2. Term of Agreement. This Agreement, when executed by Company, will be deemed to begin on the Effective Date and will terminate on January 31, 2020, unless earlier terminated in accordance with the provisions contained herein.
3. Compensation. In return for these services, the Consultant will be paid 30 GBP per billable hour. The component initial bill will be due within 3 business days of the invoice. The remainder of the bill will be due within 3 business days of completion of that component. Consultant acknowledges that it is an independent contractor and that its affiliates and employees are not entitled to any benefits provided by Company including but not limited to: federal and state income taxes, social security taxes, unemployment insurance taxes, and any other taxes or business license fees as required, liability insurance, worker's compensation insurance, and state disability insurance. Unless the parties mutually agree, the Consultant shall be responsible at its own expense for all of its own office overhead and all secretarial and clerical support services.
